Terms & Conditions

These terms govern your use of the Developify platform. Please read them carefully before investing or listing property.

Effective Date: 1 January 2026. Version: 1.0.

1.1 These Terms and Conditions ("Terms") govern access to and use of the Developify website, mobile application, technology platform and related services ("Platform"). 1.2 The Platform is operated by Developify (Pty) Ltd., trading as Developify ("Developify", "we", "us" or "our"). Developify (Pty) Ltd. An Authorised Financial Service Provider (FSP No: 55155). 1.3 By accessing, registering on or using the Platform, you agree to be bound by these Terms. 1.4 If you do not agree to these Terms, you must not use the Platform. 1.5 Certain services or investment opportunities made available through the Platform may be subject to additional agreements, investment terms, disclosures or product-specific conditions. Where applicable, these must be accepted separately before an investment may be made.

2.1 Developify operates a technology-enabled platform through which users may access information relating to selected property-related investment opportunities and, where applicable, facilitate participation in such opportunities. 2.2 Depending on the final legal and regulatory structure applicable to a particular opportunity, an investment may be offered through a separate legal entity or special purpose vehicle ("SPV"). 2.3 The specific legal nature of each investment, including the rights acquired by an investor, will be disclosed in the relevant investment documentation before an investor commits funds. 2.4 Nothing in these Terms should be interpreted as representing that a user acquires direct ownership of any immovable property merely by opening an account or using the Platform.

3.1 Developify will conduct regulated activities only to the extent permitted under applicable South African law and any licences, approvals or exemptions applicable to it. 3.2 Where a financial service is rendered by an authorised financial services provider, the identity and regulatory status of that provider will be disclosed to the user as required by law. 3.3 The availability of an investment opportunity on the Platform does not constitute regulatory endorsement or approval of that investment by the Financial Sector Conduct Authority ("FSCA") or any other regulatory authority.

4.1 To register for and use the Platform, you must:

  • be at least 18 years old;
  • have legal capacity to contract;
  • provide accurate and complete information;
  • successfully complete any required identity verification and onboarding procedures; and
  • satisfy any eligibility requirements applicable to a particular investment.

4.2 Developify may refuse, restrict, suspend or terminate access where a user does not satisfy applicable legal, regulatory, risk or eligibility requirements.

5.1 Users may be required to create an account before accessing certain Platform functionality.

5.2 You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • providing accurate information;
  • keeping your information current;
  • protecting access to your account; and
  • immediately notifying Developify of suspected unauthorised access.

5.3 You may not allow another person to use your account.

5.4 Developify may implement authentication, security and fraud-prevention controls from time to time.

6.1 Developify and/or the relevant regulated entity may be required to obtain and verify information relating to users and investors in accordance with applicable law.

6.2 This may include:

  • identity information;
  • residential or registered address;
  • contact details;
  • bank account information;
  • beneficial ownership information;
  • source of funds and, where appropriate, source of wealth information;
  • sanctions screening;
  • politically exposed person or prominent influential person information;
  • fraud and financial crime checks; and
  • any other information reasonably required for regulatory or risk-management purposes.

6.3 Developify may request additional information at any time.

6.4 Access to services, investment subscriptions, payments, distributions or transfers may be delayed or restricted where required information has not been provided or satisfactorily verified.

7.1 Each investment opportunity will be subject to its own investment documentation.

7.2 Before investing, users should review all relevant information, including where applicable:

  • the nature of the investment;
  • the relevant SPV or issuer;
  • the underlying property;
  • valuation information;
  • investment amount;
  • fees and charges;
  • investor rights;
  • projected income;
  • material risks;
  • liquidity limitations;
  • investment period; and
  • exit arrangements.

7.3 Investment opportunities may be withdrawn, amended, postponed or cancelled before completion.

7.4 An indication of interest or attempted subscription does not guarantee that an investment will be allocated.

8.1 Property-related investments involve risk.

8.2 The value of an investment may increase or decrease and investors may lose some or all of the capital invested.

8.3 Risks may include:

  • changes in property values;
  • tenant default;
  • vacancy;
  • unexpected maintenance or capital expenditure;
  • changes in interest rates;
  • economic conditions;
  • changes in taxation;
  • regulatory changes;
  • property damage;
  • liquidity constraints; and
  • delays in disposing of property or investment interests.

8.4 Historical or projected performance is not a guarantee of future performance.

8.5 Any forecasts, illustrations, expected yields, projected rental income or anticipated capital appreciation are provided for information and illustrative purposes only and are not guaranteed.

9.1 Developify does not guarantee:

  • investment returns;
  • rental income;
  • dividends or distributions;
  • capital appreciation;
  • liquidity;
  • a particular exit date; or
  • repayment of invested capital.

9.2 Investors must consider their own financial circumstances, objectives and risk tolerance before investing.

10.1 Property values displayed on the Platform may be based on independent valuations, management information or another disclosed valuation methodology. 10.2 A valuation is an estimate at a particular point in time and does not guarantee the price at which a property or investment interest can ultimately be sold. 10.3 Where a net asset value or estimated value per share or investment interest is displayed, this should not necessarily be regarded as an immediately realisable market price.

11.1 A subscription becomes binding only once all applicable conditions have been satisfied, which may include successful onboarding, acceptance of investment documentation, receipt and verification of funds, satisfaction of the relevant funding conditions, and formal acceptance or allocation of the investment. 11.2 Where an investment is made by subscribing for shares or another interest in an SPV, the investor's legal rights will be determined by the constitutional and contractual documents governing that SPV. 11.3 Platform records are administrative records and do not replace any statutory ownership or securities register required by law.

12.1 Investor funds will be handled in accordance with the legal and regulatory arrangements applicable to the relevant transaction. 12.2 Developify will maintain appropriate separation between operational funds and investor or SPV funds where required. 12.3 Users must make payments only through approved payment channels displayed or communicated by Developify. 12.4 Developify will never require users to make investment payments into an employee's or other individual's personal bank account.

13.1 Any rental-derived return, dividend or other distribution is subject to the legal and financial position of the relevant investment vehicle. 13.2 No distribution is guaranteed. 13.3 Where the investment comprises shares in an SPV, dividends may only be declared and paid in accordance with applicable company law, the SPV's constitutional documents and any applicable solvency and liquidity requirements. 13.4 Developify may deduct authorised fees, taxes or other amounts where lawfully required or agreed.

14.1 Developify may charge fees for services provided through the Platform.

14.2 Applicable fees will be disclosed before the relevant transaction or investment is concluded.

14.3 Fees may include, where applicable:

  • platform fees;
  • administration fees;
  • property management fees;
  • transaction fees;
  • acquisition-related fees; and
  • other properly disclosed charges.

14.4 Developify will not charge undisclosed fees.

15.1 Property-related investments should generally be regarded as medium- to long-term investments unless expressly stated otherwise.

15.2 Investors may not necessarily be able to dispose of an investment immediately.

15.3 Any transfer, sale or exit facility is subject to:

  • applicable law;
  • the relevant SPV documentation;
  • buyer eligibility;
  • required onboarding and verification;
  • transfer restrictions; and
  • available liquidity.

15.4 Developify does not guarantee that a willing buyer will be available.

16.1 Developify takes reasonable steps to ensure information provided through the Platform is accurate and current. 16.2 Certain information may be obtained from third parties, including property owners, valuers, estate agents, property managers and professional advisers. 16.3 Developify does not warrant that all third-party information will always be complete or error-free. 16.4 Users should notify Developify if they identify information they believe to be materially inaccurate.

You may not use the Platform:

  • unlawfully or fraudulently;
  • to impersonate another person;
  • to provide false information;
  • to launder money or facilitate financial crime;
  • to interfere with Platform security;
  • to introduce malicious software;
  • to gain unauthorised access to systems or data; or
  • for any purpose inconsistent with these Terms.

Developify may suspend or terminate accounts where misuse is suspected.

18.1 The Platform, software, branding, content, designs, databases and proprietary materials are owned by or licensed to Developify. 18.2 Users receive a limited, non-exclusive and revocable right to use the Platform for its intended purpose. 18.3 No intellectual property rights are transferred to users.

19.1 Developify may use third-party providers including:

  • payment providers;
  • banks;
  • identity verification providers;
  • property managers;
  • valuers;
  • accountants;
  • legal advisers;
  • cloud and technology providers; and
  • regulatory or compliance service providers.

19.2 Third-party services may be subject to their own terms and privacy practices.

20.1 Developify may restrict, suspend or terminate an account where reasonably necessary because of:

  • breach of these Terms;
  • suspected fraud or unlawful activity;
  • regulatory requirements;
  • failure to provide required information;
  • sanctions or financial crime concerns;
  • security risks; or
  • misuse of the Platform.

20.2 Termination of Platform access does not extinguish existing legal rights or obligations relating to an investment already held.

21.1 Nothing in these Terms excludes liability that cannot lawfully be excluded. 21.2 To the extent permitted by law, Developify will not be liable for investment losses arising solely from ordinary market movements, changes in property values, tenant default or other investment risks that have been appropriately disclosed. 21.3 Developify remains responsible for its own obligations to the extent imposed by applicable law.

22.2 Complaints will be handled in accordance with Developify's applicable complaints management framework and regulatory obligations.

22.3 Where a user has access to an external statutory dispute-resolution mechanism, the relevant details will be provided where required.

23.1 Personal information is processed in accordance with Developify's Privacy Statement and applicable data protection legislation. 23.2 The Privacy Statement forms part of the broader terms governing use of the Platform.

24.1 Developify may amend these Terms where reasonably necessary to reflect changes in law, regulation, technology, services or business operations. 24.2 Material changes will be communicated through an appropriate channel. 24.3 Changes will not retrospectively remove accrued contractual rights unless permitted by law.

25.1 These Terms are governed by the laws of the Republic of South Africa. 25.2 Any dispute will be dealt with in accordance with applicable South African law and any mandatory statutory dispute-resolution mechanism.
